1. Who these terms are between
Bana is a product of One Ten Labs, LLC. These terms are an agreement between One Ten Labs, LLC and the organization that creates a Bana account. By signing up, you confirm that you are authorized to accept these terms for that organization. If you do not agree to them, do not use the service.
2. What Bana is
Bana is field reporting and closeout software for low-voltage contractors. It collects daily reports, photos, and related records from your crews, organizes them by project and installation point, shares a customer-safe view with the people you invite, and assembles turnover packages from the records you collect.
3. Accounts and organizations
Your organization is a separate workspace in Bana, and the people in it act under roles your administrators assign. You are responsible for the accuracy of the information you provide, for keeping credentials confidential, and for the actions taken under your organization’s accounts and report links. Tell us promptly if you believe an account has been compromised.
Technicians can submit reports through links sent by text message without holding an account. Your organization is responsible for directing those links to the right people.
4. Trials, subscriptions, and billing
New organizations start with a free trial: 30 days with the limits described on the pricing page, and no payment card required. When the trial ends, the organization becomes read only until a plan is chosen. Nothing is deleted when a trial ends.
Paid plans are billed monthly by card at the prices shown on the pricing page, and plans are sized by active projects. Any project that is not closed holds an active project slot. If you open more projects than your plan includes, the extra projects accrue a per-day overage charge at the rate shown at purchase. Bana asks you to confirm before an overage begins and itemizes it on your bill. It never blocks the work.
Prices can change with at least 30 days of notice, taking effect at your next billing period. You are responsible for any taxes that apply to your subscription, other than taxes on our income.
5. Cancellation and your records
You can cancel at any time from your billing settings. When a subscription is canceled, charging stops and the organization becomes read only: everything remains viewable and downloadable, and turnover packages can still be released and downloaded. Your records are retained in this state for at least 12 months after cancellation, and subscribing again reactivates the organization.
6. Your content
The reports, photos, plans, and other records your organization puts into Bana belong to your organization. You grant One Ten Labs, LLC the license needed to host, process, transmit, and display that content, solely to provide and secure the service. You are responsible for having the rights to the content you upload and for its accuracy.
7. Acceptable use
Use Bana lawfully and as intended. Do not attempt to break or probe its security, access another organization’s data, resell the service, send unlawful or abusive messages through it, or use it to infringe anyone’s rights. We may suspend access that threatens the service or other customers, and will restore it once the threat is resolved.
8. Text messages and consent
Bana sends text messages on your organization’s behalf, chiefly report links, schedule changes, and reminders to your crew. You confirm that the people you add have agreed to receive work-related texts from your organization. Message frequency varies with the work schedule, and message and data rates may apply. Recipients can reply HELP for help or STOP to stop messages at any time, and Bana honors those requests automatically. Carriers are not liable for delayed or undelivered messages.
9. Location information
Field reports can carry one GPS reading, taken while the report form is open and sent with the submitted report, checked against the project’s geofence. Bana does not track anyone’s location in the background. You are responsible for telling your crew that submitted reports are location stamped, and for meeting any notice obligations that apply to your workforce. 10. Payments
Card payments are processed by a PCI-compliant third-party payment processor. Card numbers go directly to the processor and never touch Bana’s servers; Bana stores only a token that lets the processor charge the card you saved.
11. Availability and changes to the service
We work to keep Bana available and useful, and we may improve or change features over time. If a change materially reduces the service you pay for, you can cancel and receive a prorated refund of any prepaid, unused fees.
12. Disclaimers
Bana is provided as is and as available. To the fullest extent the law allows, One Ten Labs, LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Bana is a record-keeping tool: it does not perform, supervise, or certify construction work, and it is not a substitute for your professional judgment or your compliance obligations.
13. Limitation of liability
To the fullest extent the law allows, One Ten Labs, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of the service is limited to the amounts your organization paid for Bana in the 12 months before the claim arose.
14. Indemnity
Your organization will defend and indemnify One Ten Labs, LLC against third-party claims arising from your content, your use of the service in violation of these terms, or your violation of law, including claims about the consent of message recipients.
15. Termination for breach
Either party may terminate this agreement if the other materially breaches it and does not cure the breach within 30 days of written notice. Sections that by their nature should survive termination survive it, including ownership, disclaimers, liability limits, and the retention terms in section 5.
16. Changes to these terms
We may update these terms from time to time. If a change is material, we will notify your organization’s administrators at least 30 days before it takes effect. Continuing to use Bana after a change takes effect means the organization accepts the updated terms.
17. Governing law and contact
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules, and disputes will be resolved in the state or federal courts located in California. Questions about these terms can be sent to support@banabuild.com.
